1. Preliminary Provisions and Legal Acceptance
These Terms and Conditions (“Terms”, “Agreement”) constitute the entire contractual framework governing access to, navigation of, interaction with, and procurement of goods or services through the website, catalogue systems, quotation channels, account portals, representatives, distributors, or commercial communications of Fusion Dent (“Fusion Dent”, “Company”, “we”, “us”, “our”).
These Terms apply to all visitors, purchasers, clinics, dental laboratories, resellers, distributors, practitioners, procurement officers, commercial entities, and any other persons or organisations dealing with Fusion Dent (“Customer”, “User”, “you”, “your”).
By accessing the website, opening an account, requesting pricing, accepting a quotation, placing an order, remitting payment, receiving goods, or otherwise engaging in commerce with Fusion Dent, you expressly acknowledge and agree to be legally bound by these Terms as amended from time to time.
If you do not accept these Terms in full, you must immediately discontinue use of the website and refrain from placing orders.
2. Definitions and Interpretation
For the purposes of these Terms:
● Goods means all implants, healing abutments, prosthetic components, accessories, instruments, consumables, packaging, kits, and any tangible products supplied by Fusion Dent.

3. Corporate Scope of Operations
Fusion Dent operates in the field of dental product supply and commercial distribution, including but not limited to implant systems, restorative interfaces, healing abutments, prosthetic components, surgical accessories, technical consumables, and associated products intended primarily for professional use within the dental sector.
Nothing on the website shall be interpreted as clinical advice, surgical recommendation, treatment planning instruction, regulatory certification, or warranty of treatment outcome.
4. Eligibility to Purchase
Orders may only be placed by persons or entities legally capable of entering binding contracts under applicable law.
Fusion Dent reserves the right to request evidence of:

● VAT or tax registration;

● delivery authority;

Many Fusion Dent products are intended exclusively for use by trained and qualified dental professionals or authorised laboratories. Customers are solely responsible for ensuring that persons handling or utilising such products possess adequate competence, certification, and lawful authority.
Fusion Dent accepts no liability arising from use by unqualified individuals, misuse, off-label application, negligent handling, or unauthorised onward supply.
6. Website Availability and Technical Access
While reasonable efforts are made to maintain website availability, Fusion Dent does not guarantee uninterrupted access, freedom from error, compatibility with all devices, or continuous uptime.
The website may be suspended, restricted, modified, or withdrawn temporarily or permanently without notice for:
● maintenance;

● force majeure circumstances;
● third-party hosting failures.
7. Acceptable Use of Website

Customers must independently verify:

10. Quotations and Price Validity
Any quotation issued by Fusion Dent is non-binding unless expressly stated otherwise and may be subject to stock availability, currency fluctuation, shipping revision, tax adjustment, or clerical correction.
Unless otherwise specified in writing, quotations may be withdrawn or amended at any time prior to order acceptance.
11. Order Submission and Acceptance
An order placed by the customer constitutes an offer to purchase only. Fusion Dent may accept or reject any order in whole or in part.
A binding contract shall arise only when Fusion Dent issues one of the following:
● written confirmation;
● dispatch notice;
● invoice;
● delivery of goods;
● express acceptance through authorised representative.
Fusion Dent may cancel or decline orders where there is:
● stock shortage;
● pricing error;
● sanctions concern;
● export restriction;
● suspicious transaction pattern;
● unpaid prior balances;
● misuse risk;
● legal or commercial impediment.
12. Minimum Order Values and Account Conditions
Fusion Dent may impose minimum order values, trade account thresholds, distributor eligibility criteria, or volume conditions at its discretion.
Trade credit facilities, if granted, may be varied, reduced, suspended, or withdrawn without notice based on payment history, risk review, or commercial policy.
13. Pricing Structure
Unless expressly stated otherwise:
● prices exclude VAT and sales taxes;
● prices exclude customs duties and import charges;
● prices exclude shipping and insurance;
● prices may be denominated in selected trading currencies;
● promotions are temporary and subject to withdrawal.
Manifest errors in advertised pricing may be corrected even after order placement.
14. Payment Terms
Payment is due immediately at point of order unless written credit terms apply.
Fusion Dent may accept bank transfer, card payment, approved trade credit, or other methods designated by the Company.
Where payment is overdue, Fusion Dent may:
● suspend pending dispatches;
● charge statutory or contractual interest;
● recover collection costs;
● terminate credit terms;
● pursue legal recovery.
15. Retention of Title
Legal and beneficial ownership of goods shall remain with Fusion Dent until full cleared payment of all sums due has been received.
Until title transfers, the Customer shall:
● store goods separately where practical;
● preserve packaging and identification;
● maintain goods in saleable condition;
● not pledge or encumber goods.
16. Risk Transfer
Risk of loss, theft, damage, or deterioration shall pass upon:
● delivery to customer premises;
● handover to nominated carrier;
● collection by customer; or
● completion of agreed delivery point.
Customers should ensure adequate insurance arrangements where relevant.
17. Shipping and Delivery
Delivery dates are estimates only and time shall not be of the essence unless expressly agreed in writing.
Fusion Dent shall not be liable for delay caused by:
● courier disruption;
● customs inspection;
● weather;
● transport shortages;
● strikes;
● war;
● epidemic;
● utility outage;
● cyberattack;
● supplier interruption.
Partial deliveries may occur and may be invoiced separately.
18. International Orders
For cross-border shipments, the Customer is solely responsible for:
● import licensing;
● customs declarations;
● duties and taxes;
● local registrations;
● product legality in destination territory;
● language labelling requirements;
● regulatory approvals.
Fusion Dent makes no representation that all products are authorised in every jurisdiction.
19. Inspection on Receipt
Customers must inspect consignments immediately upon receipt.
Any shortage, visible damage, wrong item, quantity discrepancy, or packing anomaly must be reported in writing within forty-eight (48) hours of delivery.
Failure to notify within the required period may result in deemed acceptance.
20. Storage, Handling and Sterility
Products must be stored, transported, and handled in accordance with applicable professional standards and any accompanying instructions.
Fusion Dent accepts no responsibility where performance, sterility, integrity, or packaging condition is compromised after dispatch due to:
● poor storage;
● humidity exposure;
● contamination;
● mishandling;
● re-sterilisation;
● expiry oversight;
● unauthorised modification.
21. Returns, Exchanges and Refunds
Returns, exchanges, replacements, and credits shall be governed exclusively by the separate Refund and Exchange Policy in force at the relevant time.
Unless mandatory law requires otherwise, monetary refunds are not ordinarily available.
22. Warranty Limitation
Except where non-excludable rights apply, all implied warranties, guarantees, and representations are excluded to the maximum extent permitted by law.
Where a manufacturing defect is verified, Fusion Dent may elect to provide:
● replacement item;
● equivalent substitute;
● account credit;
● component exchange.
Such remedies are exclusive.
23. Clinical Responsibility Disclaimer
Fusion Dent supplies products only and does not provide diagnosis, surgery, treatment planning, placement protocols, prosthetic treatment decisions, or patient care services.
All clinical decisions remain solely with the treating practitioner.
24. Limitation of Liability
To the fullest extent permitted by law, Fusion Dent shall not be liable for:
● indirect or consequential loss;
● lost profits;
● loss of goodwill;
● treatment delays;
● clinician chair-time loss;
● laboratory costs;
● patient claims;
● reputational damage;
● data loss;
● business interruption.
Aggregate liability shall not exceed the invoice value of the affected goods.
25. Indemnity
The Customer agrees to indemnify and hold harmless Fusion Dent against claims, losses, damages, liabilities, costs, and expenses arising from:
● misuse of products;
● negligent storage or handling;
● unauthorised resale;
● breach of these Terms;
● regulatory non-compliance by customer;
● clinical misuse.
26. Data Protection and Privacy
Fusion Dent may process personal and business data for:
● order fulfilment;
● account administration;
● compliance checks;
● fraud prevention;
● customer support;
● logistics coordination;
● analytics;
● lawful marketing where permitted.
Such processing shall be subject to applicable privacy law and internal data controls.
27. Confidentiality
Trade pricing, negotiated discounts, technical communications, account information, and commercial terms supplied by Fusion Dent shall be treated as confidential unless disclosure is legally required.
28. Force Majeure
Fusion Dent shall not be in breach for delay or failure caused by events beyond reasonable control including natural disaster, epidemic, war, embargo, labour shortage, cyber incident, transport collapse, government action, supplier default, or utility failure.
29. Suspension and Termination
Fusion Dent may suspend accounts, cancel orders, or terminate trading relationships immediately where there is:
● non-payment;
● abusive conduct;
● fraud suspicion;
● sanctions concern;
● repeated disputes;
● misuse of products;
● breach of these Terms.
30. Severability
If any provision of these Terms is held unenforceable, the remaining provisions shall remain valid and enforceable to the fullest extent permitted.
31. No Waiver
Failure by Fusion Dent to enforce any right shall not constitute waiver of that right or any subsequent right.
32. Entire Agreement
These Terms, together with invoices, accepted quotations, privacy notices, and refund policies issued by Fusion Dent, constitute the entire agreement between the parties unless expressly varied in writing.
33. Amendments
Fusion Dent may revise these Terms periodically. Updated versions become effective upon publication to the website unless otherwise stated.
34. Governing Law and Jurisdiction
These Terms shall be governed by the laws applicable in the jurisdiction from which Fusion Dent operates. Courts of competent jurisdiction shall have exclusive authority unless mandatory law provides otherwise.
